1. Introduction

These Terms of Service (“Terms”) govern your access to and use of services provided by Host Baltic, UAB (“Company”, “we”, “us”, “our”). By using our services, you agree to be bound by these Terms.

2. Offered Services

We offer the following services (“Services”):
• Data center infrastructure and management
• Shared and dedicated website hosting
• Virtual Private Servers (VPS/VDS)
• Dedicated server rental/ Bare metal server rental
• Server colocation
• Other related services

In order to test the quality of our services, we may offer a free of charge “trial” period of Service provision.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under Lithuanian law to use the Services.

By using our Services you confirm that you are at least of 18 years of age and/or have the necessary consent from your parents or rightful legal guardian, eligible to consent on your behalf.

4. User Account

You are responsible for maintaining the confidentiality of your account credentials.

Your user account is not transferable to another person. You shall keep your access credentials secret and protected against access by unauthorized persons. In the event your access credentials become compromised (i.e., lost and/or disclosed to third parties), you shall inform us and change your access credentials immediately.

We are entitled to block access to your user account if there is reasonable suspicion of misuse of your access credentials by third parties. Additionally, we recommend you use effective security measures on your device to prevent illegal access by third parties.

5. Acceptance Use Terms


You agree not to use our Services for:
• Illegal activities under applicable legislation
• Distribution of malware, spam, or harmful content
• Hosting content that violates intellectual property rights of other third parties
• Activities that disrupt or degrade our infrastructure

In addition, by using our Services You shall not engage in any activities that can endanger the stability and security of our operations. This specifically includes that you do not intentionally breach the data networks, manipulate the software, or transmit any viruses, Trojan horses or any other malware.

6. Personal Data Processing


Personal data, which we receive from you for the provision of Services, is processed in accordance with our Privacy Policy.

7. Service Availability and Uptime


We strive to maintain high availability of services (<99,9%) but do not guarantee uninterrupted access. Scheduled maintenance and unforeseen outages may occur.

8. Payment Terms

General Information
Fees are billed according to the pricing and payment terms provided on our website. All prices are in EUR and include applicable VAT unless stated otherwise.

We will activate and provide your ordered Services after we receive the payment.

We will also issue an electronic invoice by your specified email no later than the 10th day of the following month the Services have been commenced. By using our Services, you agree that this is the preferred method of invoice receipt.

Single Payments
Single payments apply to hardware, which you may purchase from us.

Monthly Subscriptions
To qualify for services under monthly subscription terms, you must pay the subscription fee before the start of each billing cycle. If we do not receive the monthly subscription fee on time, we may suspend or terminate your Service provision. If payment is delayed:
• Services may be suspended on the moment of delay.
• Services may be permanently terminated after a grace period of 3 calendar days.

Restoration of suspended services may incur an additional fee.

If requested, we may also offer long term monthly subscription (12 months and longer) plan.

Refunds and Cancellations
You may cancel Monthly subscription-based Services and request for a full or partial refund if you do not fully or partly receive the requested services.

In addition, if we are not able to provide <99,9% Service upkeep, you may request for Service duration extension instead of a refund for the same duration of Service interruption.

In any event, no refunds are possible for the following services: Custom work orders (e.g., system tuning, manual rewriting, equipment installing, etc.)

Refunds shall be processed using the original payment method unless technical limitations require an alternative method. Any transaction or administrative fees may be deducted from the refunded amount. In addition, refunds will be subject to related administrative fees for processing such operation.
Attention: if Services are terminated due to your violations of these Terms and/or breach of applicable legal requirements, no refund will be issued. For more information on what may constitute a breach of Terms, please refer to chapter 10 of these Terms.

Price Changes
We may unilaterally change the pricing for Services. Nonetheless, you will be informed about the planned change in pricing at least 30 calendar days in advance.
If you do not agree with the new pricing, you may terminate the Service provision before the new rates take effect.

9. Intellectual Property


All content, software, and infrastructure provided by us remains our property or that of our licensors. You may not copy, modify, or distribute any part without prior written consent.

10. Service Suspension & Termination


Service provision may be terminated by either us or you in accordance with the terms set herein. However, Service termination will not relieve you from any obligations incurred prior to the termination date (i.e., outstanding fees).

To terminate the Services, you must submit a written request at least 30 calendar days in advance. If the termination date occurs before the end of the prepaid service period, any unused portion of the service fee shall be refunded or partially refunded only if:
• The service has not been fully or partially provided.
• The service is not excluded from refund eligibility, as described in these Terms.

In the event of Service termination, your provided data may be preserved for up to 5 calendar days. You may request to increase your data preservation term for a fixed fee, corresponding to the Service.

We may suspend or terminate the provision of Services immediately, without prior notice, if you:
• Fail to pay for the Services within the established payment term.
• Violate these Terms and/or any other applicable legal requirements.
• Engage in activities that compromise the integrity, security, or availability of our infrastructure or other customers.
• Provide false or misleading information during registration or service use.
• Perform actions or upload content which violates applicable laws, regulations, or third-party rights.

Taking into account the specific matter, we may first decide to issue a warning prior to suspending or terminating the provision of your Services.

If we decide to notify you regarding a violation of Service use, your access to Services shall be suspended and you will be given a term of 3 calendar days to mitigate the circumstances of the violation. In the event you fail to mitigate the Service violation in the set deadline, your access to Services will be terminated.

In the event of repeated Service use violation, your access to Services will be terminated immediately without prior notice.

In the event Service provision is terminated due to your fault, your access to Services and other associated data shall be revoked. We will not retain or transfer any data unless otherwise agreed in writing.

In any event, we are not liable for any direct or indirect damages resulting from Service termination, including loss of data, business interruption, or reputational harm.

11. Liability


We make every effort to ensure the quality of our Services. However, we are not liable for Service disruptions, if they occur through no fault of ours. Such cases may be, among other:
• Third party action(s) or inaction(s) (i.e., actions of data registry, data center, network providers).
• Cyber-attacks, viruses, DDoS or other safety incidents.
• Force Majeure circumstances (i.e., fire, flooding, war, state actions).

In addition, we are not responsible for:
• the compliance to applicable legal requirements of the information you upload.
• your data loss, if such data loss occurs not because of our fault and/or due to your improper (unsafe) password protection measures and/or vulnerable software.
• your indirect losses, including lost income, reputational harm or other business interruptions.

By using our Services you are fully liable for:
• All actions performed while using your assigned account, even if such actions are made by third parties.
• The accuracy, renewal and safety of provided data.
• Uploaded content compliance with applicable legal requirements.
• Any harm suffered by us, third parties or their systems due to illicit actions, damage, fraud or other related violations.
If due to your illicit actions, state/local authorities or any third parties make claims and/or bring actions against us, or should we incur any other negative consequences due to your illicit actions, you undertake to fully compensate us for damages incurred as a result.

Kindly note that the Services provided by us are provided on an “as is” basis and we cannot guarantee uninterrupted service provision or adamant protection.

In any event, our maximum liability coming out of this relationship, if applied, shall be limited to the amount paid by you for the Services that are the subject of the dispute during the last payment period.

12. Governing Law and Dispute Resolution


These rules shall be interpreted in accordance with the Law of the Republic of Lithuania. Any disputes arising thereof shall be resolved through mutual negotiations. In the event we fail to reach an amicable approach, such dispute will be resolved in accordance with the Laws of the Republic of Lithuania.
Disputes arising out of the improper execution or non-execution of these Terms shall be considered in accordance with the Law on the Protection of Users in the Republic of Lithuania by the State Consumer Rights Protection Authority, located at Vilniaus g. 25, 01402 Vilnius, emailtarnyba@vvtat.lt tel. 13. Changes to Terms and validity


These terms are valid as long as the Services are provided for you.

We may update these Terms from time to time. You will be informed about any updates on our website.

Continued use of our services after changes implies acceptance of the revised Terms.

14. Language


These terms have been drawn up in Lithuanian and in English. In case of discrepancies, Lithuanian text shall prevail.
